Training Terms and Conditions

By agreeing to these terms and conditions, the Client acknowledges that they have read and understood them and agrees to be bound by them.

Introduction

These terms and conditions govern the provision of training services by the New Zealand Disability Employers' Network (the "Provider") to the Client (the "Client"). By engaging the Provider's services, the Client agrees to be bound by these terms and conditions.

Payment

The Client agrees to pay the Provider the agreed fee for the training services provided. Payment must be made in full prior to the commencement of the training services.

Cancellation and Refunds

If the Client cancels the training services within 14 working days of the scheduled training date, the Provider will refund 50% of the fee paid. If the Client cancels the training services less than 2 business days prior to the scheduled training date, no refund will be provided.

If the Provider cancels the training services, the Provider will refund the full fee paid by the Client.

Intellectual Property

The Provider retains all intellectual property rights in the training materials provided to the Client. The Client is granted a non-exclusive, non-transferable license to use the training materials for the sole purpose of the Client's internal training needs.

The Client agrees that the training materials are solely for the use of the initial trainee and must not be delivered within the Client's organisation without prior written consent from the Provider. The Client must obtain written permission from the Provider before using the training materials for any purpose other than their internal training needs of the initial trainee. The Provider reserves the right to withhold consent at its sole discretion.

Confidentiality

The Provider and the Client agree to keep confidential all information and materials provided by each other in relation to the training services. This obligation of confidentiality will survive the termination of the training services.

Limitation of Liability

The Provider will not be liable for any loss, damage or injury suffered by the Client or any third party as a result of the provision of the training services, except to the extent that such loss, damage or injury is caused by the Provider's negligence or breach of these terms and conditions.

Termination

Either party may terminate the provision of training services at any time by providing written notice to the other party. In the event of termination, the Client will remain liable for any fees due and payable to the Provider.

Governing Law

These terms and conditions will be governed by and construed in accordance with the laws of New Zealand. Any disputes arising out of or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the New Zealand courts.
